We provide business consulting and strategic advisory services ("Services"), including but not limited to:
Strategic planning and business development consulting
Leadership coaching and development
Organizational alignment and growth strategies
Our Services are provided through various means, including in-person meetings, video conferences, telephone consultations, and written communications.
4. Acceptance of Services
4.1 Engagement Process
Services are provided following:
Initial consultation or discovery call
Mutual agreement on scope of work
Acceptance of these Terms
Payment of applicable fees
4.2 Capacity
By engaging our Services, you represent that:
You are at least 18 years of age
You have the legal authority to enter into this agreement
All information provided to us is accurate and complete
5. Fees and Payment Terms
5.1 Pricing
Our fees are clearly communicated before engagement and may include:
Hourly consultation rates
Project-based fees
Monthly retainer arrangements
Other agreed-upon fee structures
5.2 Payment Terms
Consultations: Fees must be paid in advance of scheduled consultations
Retainers: Monthly retainer fees are due in advance at the beginning of each month
Projects: Payment terms will be specified in individual project agreements
Payment is due within 21 days of invoice date unless otherwise agreed
Late payments may incur interest charges of 5% per month
5.3 Payment Methods
We accept payment by:
Bank transfer
Credit/debit card
5.4 Currency
All fees are quoted and payable in British Pounds Sterling (GBP) unless otherwise specified.
6. Cancellation and Rescheduling
6.1 Client Cancellations
Consultations may be cancelled or rescheduled with at least 48 hours notice
Cancellations with less than 48 hours notice may be subject to full fee charges
Emergency cancellations will be considered on a case-by-case basis
6.2 Our Cancellations
If we need to cancel or reschedule, we will provide as much notice as possible and work with you to find an alternative time.
7. Refund Policy
7.1 General Policy
Fees paid for Services not yet delivered may be refunded at our discretion
Refunds for partially completed work will be calculated on a pro-rata basis
Processing fees and administrative costs may be deducted from refunds
Refund requests must be made in writing
7.2 No Refund Circumstances
No refunds will be provided for:
Services already delivered
Cancellations made with insufficient notice
Client-initiated termination without cause
8. Intellectual Property
8.1 Our Intellectual Property
All materials, methodologies, frameworks, and content provided by us remain our intellectual property. You may use these materials solely for the intended business purposes discussed during our engagement.
8.2 Client Information
You retain ownership of all information and materials you provide to us. By engaging our Services, you grant us permission to use this information solely for the purpose of delivering our Services.
8.3 Work Product
Any strategies, recommendations, or deliverables created specifically for you during our engagement will be your property upon full payment of fees.
9. Confidentiality
9.1 Our Commitment
We treat all client information as strictly confidential and will not disclose any information to third parties without your express written consent, except as required by law.
9.2 Your Commitment
You agree to keep confidential any proprietary methodologies, frameworks, or sensitive business information we share with you.
9.3 Exceptions
Confidentiality obligations do not apply to information that:
Is publicly available through no breach of this agreement
Was known prior to disclosure
Is independently developed
Must be disclosed by law
10. Limitation of Liability
10.1 Service Disclaimer
Our Services consist of professional advice and recommendations. We cannot guarantee specific business outcomes or results from implementing our recommendations.
10.2 Liability Cap
To the maximum extent permitted by law, our total liability for any claims arising from our Services shall not exceed the total fees paid by you for the specific Services giving rise to the claim.
10.3 Excluded Damages
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or business opportunities.
11. Professional Standards
11.1 Best Efforts
We will provide our Services with professional care and skill, in accordance with industry standards.
11.2 No Professional Relationship
Unless specifically agreed otherwise, our Services do not create:
A fiduciary relationship
Any other professional relationship beyond consulting services
11.3 Third-Party Advice
We may recommend that you seek additional professional advice (legal, accounting, etc.) where appropriate. Such recommendations do not constitute professional advice in those areas.
12. Termination
12.1 Termination by Either Party
Either party may terminate the Services relationship with 2 days written notice.
12.2 Immediate Termination
We reserve the right to immediately terminate Services if:
Fees remain unpaid after 30 days
You breach these Terms
Circumstances make it inappropriate or impossible to continue
12.3 Effect of Termination
Upon termination:
You remain liable for all fees for Services provided
Both parties remain bound by confidentiality obligations
We will return or destroy confidential information as requested
13. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws. By using our Services, you consent to such processing and warrant that all data provided is accurate.
14. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government actions.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Dispute Resolution

We encourage resolving any disputes through good faith discussion and negotiation.
16.2 Mediation
If direct negotiation fails, disputes may be resolved through mediation before resorting to litigation.
16.3 Legal Proceedings
Any legal proceedings must be commenced within 6 months of the dispute arising.

These Terms, together with any specific service agreements, constitute the entire agreement between the parties.
17.2 Amendments
These Terms may only be modified in writing and signed by both parties.
17.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17.4 Assignment
You may not assign your rights or obligations under these Terms without our written consent.
17.5 Waiver
Our failure to enforce any provision shall not constitute a waiver of that provision.
